1. Introduction

These Terms and Conditions govern your use of Lovely Local Place, a digital wallet pass management platform operated by Ongoing Things UG (haftungsbeschränkt). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Definitions

• Service refers to the Lovely Local Place platform, including all features, tools, and related services.
• User or You refers to the business or individual accessing or using the Service.
• Content refers to any data, text, images, or materials you upload, create, or distribute through the Service.
• Passes refers to digital wallet passes created using the Service for Apple Wallet, Google Wallet, or other supported platforms.

3. Account and Access

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years old or have the legal authority to enter into these Terms on behalf of your organization. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal or unauthorized purpose
• Create passes that contain false, misleading, or fraudulent information
• Distribute malware, spam, or harmful content through the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Violate any applicable laws, regulations, or third-party rights

5. Platform Restrictions

Passes created through the Service are distributed via Apple Wallet and Google Wallet. You must comply with the acceptable use policies of these platforms. The following uses are strictly prohibited:

• Adult content, pornography, or sexually explicit material
• Weapons, explosives, ammunition, or dangerous goods
• Counterfeit goods or stolen merchandise
• Illegal drugs, unapproved pharmaceuticals, or drug paraphernalia
• Tobacco products, e-cigarettes, or vaping products
• Gambling services targeting minors or restricted individuals
• Content promoting violence, hate speech, or terrorism
• Unlicensed financial services or cryptocurrency transactions
• Multi-level marketing or pyramid schemes
• Fraudulent charity or fundraising activities
• Passes that impersonate government-issued identification
• Falsified health passes or medical credentials
• Content that infringes intellectual property rights

We reserve the right to remove passes or suspend accounts that violate these restrictions or the policies of Apple or Google. You are solely responsible for ensuring your passes comply with all applicable platform guidelines.

6. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Ongoing Things UG and is protected by intellectual property laws. You retain ownership of your Content, but grant us a limited license to use, store, and process it as necessary to provide the Service.

You represent that you have the rights to any Content you upload and that such Content does not infringe the intellectual property rights of any third party.

7. Payment Terms

Certain features of the Service require payment of fees. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis unless otherwise specified.

All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change our fees with reasonable notice.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We process personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. You are responsible for ensuring that your use of the Service complies with applicable data protection requirements, including obtaining necessary consents from your end users.

9. Service Availability

We strive to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, Ongoing Things UG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve months preceding the claim. The Service is provided "as is" without warranties of any kind, express or implied.

11. Termination

You may terminate your account at any time by contacting us or using the account settings. We may suspend or terminate your access to the Service if you breach these Terms or if required by law.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany, unless mandatory consumer protection laws require otherwise.
